• Lead counsel on merger and acquisition transactions ranging in value from a few hundred thousand dollars to hundreds of millions of dollars in a wide variety of industries, including insurance, professional services, food, sports equipment and auto parts.
• Using alternative fee structures and strong project management, developed methods to provide efficient, high quality services at lower and predictable costs, including over 100 acquisition transactions for a Fortune 100 financial services company at fees based on the value of each transaction and hundreds of finance transactions for a variety of clients at fixed fees.
• Represents venture capital investors and venture funded companies from initial financing through follow-on rounds of financing, development and sale.
• Advises family and other closely held businesses in various matters, including boards of directors, shareholder and other governance issues, debt and equity financing, ownership disputes and general contracting.
• Represents private equity funds, companies and management in private equity acquisition, disposition and financing transactions.
• Represents national lenders in life insurance premium finance transactions.
• Manages the provision of other legal services to clients, including employment, intellectual property, litigation, tax, real estate and employee benefits services.
