Tom Osteraas is a shareholder with broad experience over his nearly 20-year career advising companies from both the in-house and outside counsel perspective. Tom joined the firm in 2012 after serving as general counsel at Excelsior Energy Inc.

As in-house counsel at NRG Energy and as general counsel at Cogeneration Corporation of America and Excelsior Energy, Tom has advised companies on a wide variety of general corporate and securities matters, handling corporate governance, SEC compliance and energy regulatory matters, and overseeing due diligence and closing on a number of asset acquisition and merger transactions, including the sale of the publicly listed CogenAmerica to another independent power producer. Tom has particular expertise and experience with all aspects of power plant development, permitting and financing. Tom also worked on many corporate and project level debt financings while serving as in-house counsel, calling on his broad private practice training and background helping banking and corporate clients document and close secured transactions. Tom has also had extensive experience dealing with federal agencies providing incentives to innovative energy projects in the form of direct cost-shared funding, loan guarantees and tax credits from the U.S. Department of Energy and the U.S. Treasury, respectively.

In private practice Tom has had deep experience representing both lenders and borrowers/issuers in connection with traditional credit facilities as well as complex structured financings of receivables generated by mortgages, warehouse loans, premium finance loans, credit cards and other financial assets. Tom previously served as a partner in the banking group at Faegre & Benson in Minneapolis, and he began his career as a member of the financial transactions group at Morrison & Foerster in Los Angeles, California.
