Ethan Mark practices primarily in the areas of mergers and acquisitions, corporate finance, securities law and general corporate law. Ethan has worked on numerous mergers and acquisitions representing both public and private buyers and sellers, and several debt and equity financing transactions for public and private clients. He regularly advises clients in all aspects of entity formation, raising capital, Exchange Act reporting, corporate governance, joint ventures, Hart-Scott-Rodino filings, consulting and outside vendor agreements, and other general corporate matters.

Ethan served as part of the transactional teams that represented:
- Midwest Wireless in its sale to Alltel Wireless for $1.075 billion;
- G&K Services, Inc., in several acquisitions and its debt refinancing;
- St. Cloud Wireless in the $312.5 million sale of its Northern PCS operating subsidiary to Sprint-Nextel;
- Multinational corporation in its $300 million acquisition of a power plant and related debt financing;
- Digital Cyclone in its sale to Garmin Ltd.;
- LodgeNet Interactive Corporation in its $225 million tender offer for its outstanding high yield debt;
- NorthWestern Corporation in its Rule 144A offerings and Regulation D private placements of first mortgage bonds aggregating $600 million;
- Computer Network Technology Corporation in its sale to McDATA Corporation for $235 million;
- Several closely held and family businesses in their sales to private equity groups, public companies and other buyers;
- Toronto-based private equity fund in a variety of acquisition and financing matters;
- Several private companies in their Regulation D private placements of equity and debt securities;
- Railroad company in a $110 million leveraged lease transaction;
- Venture capital funds in several investments and recapitalizations;
- Multinational corporation, as local counsel, in its $3 billion takeover of a public company;
- Majority shareholder in a going private transaction and tender offer; and
- Local sports franchise in its $100 million debt refinancing transaction.
