Practice Areas
Ms. Pcolka focuses her practice in the representation of banks and commercial lenders in the negotiation, documentation, and closing of secured transactions, including asset-based loans, secured lines of credit, equipment financings, commercial real estate loans, and letter of credit transactions, including single-lender, syndicated and participation facilities. In conjunction with her representation of financial institutions, she handles restructurings and work-outs, including debtor-in-possession financing and secured party sales pursuant to Article 9 of the Uniform Commercial Code.
The balance of her practice includes the areas of intellectual property licensing, technology transfer, mergers and acquisitions, corporate finance, and general corporate law. She regularly works with public and private companies in many areas, including choice of entity and related formation and organizational matters, mergers, asset and stock sales, private placements, licensing and contract negotiations, and other general corporate matters. She has significant experience in OEM, private label, supply, and similar arrangements.

Carrie was part of the team that represented:
- Local telecommunications company in its more than $700 million secured credit facilities transaction;
- Local sports franchise in its $100 million debt refinancing transaction;
- Numerous lending transactions for local institutional lenders;
- New York based private equity fund to borrowers in various industries secured by blanket liens on their assets;
- Several closely held and family businesses in their sales to private equity groups, public companies and other buyers;
- Several private companies in their Regulation D private placements of equity and debt securities.
