Adam Maier’s practice includes representing lenders in connection with commercial, real estate and asset-based financing arrangements; structuring and restructuring debt and credit facilities and analyzing legal issues arising under the Uniform Commercial Code; state and federal banking regulatory laws; consumer and business lending compliance regulations; and the U.S. Bankruptcy Code. He advises financial institutions on all aspects of structuring, documenting and enforcing secured transactions. In addition, Adam regularly represents lenders, lessors, equity firms and hedge funds in all aspects of asset acquisition, credit extension, financial workouts, restructurings, distressed sale transactions and various debtor-creditor proceedings.
Adam’s transactional practice also includes negotiating mezzanine loans, intercreditor relationships, whole loan trading and acquisition and sale and financing of interests in pools of commercial and consumer loans. In addition, he has significant experience representing buyers, sellers, equity firms, hedge funds and financial institutions in various complex merger, acquisition, divestiture and joint venture corporate and real estate transactions.
During law school, Adam served as a judicial extern to the Honorable Michael J. Davis of the U.S. District Court for the District of Minnesota and received CALI Awards for excellence in the study of secured transactions and bankruptcy.
